Wiesław Nowak

President of the Management Board
Wiesław Nowak graduated from the Faculty of Electrical Engineering, Automatics and Electronics at AGH University of Science and Technology in Cracow.

He is the founder and majority shareholder of ZUE S.A. established in 1991. His professional career began in 1982 at Miejskie Przedsiębiorstwo Komunikacyjne Sp. z o.o. of Cracow. In 1986-1990, he worked at PGM Śródmieście as an IT and Communications Coordinating Officer. In 1991, he continued to work in the power electronics and communications industry and founded Zakład Urządzeń Energoelektronicznych Radiotech. He gradually expanded the company’s operations to include the design, construction and maintenance of tram switches control and heating equipment, light signals and OCL network. The company took part in the execution of many prestigious and important projects in Cracow. In 2000, he expanded the operation of ZUE by acquiring shares in PREFTOR S.A. (a company specialising in road and track works) in which he held the position of the Management Board President in 2000-2004.

Mr. Nowak has been a Member of the Board of the Land Transport Chamber of Commerce since 2016, a Member of BCC Main Council since 2017 and Honorary Consul of Bulgaria since 2019.

He sits on the Supervisory Boards of the two companies within ZUE Capital Group, namely Biuro Projektów Komunikacyjnych w Poznaniu Sp. z o.o. (since 2015) and Railway gft Polska Sp. z o.o. (since 2015).

He has been the Management Board President and CEO of ZUE S.A. since 15 November 2002.

Jerzy Czeremuga

Vice President of the Management Board
Jerzy Czeremuga graduated from the Faculty of Electrical and Computer Engineering of the Cracow University of Technology.

He holds unlimited building qualifications in the field of electrical and power engineering equipment, systems and networks.

He began his professional career in 1996 at Elpromont Sp. z o.o. where he worked as a wiremanIn 1998-1999, he held a sales position at Belet Polska Sp. z o.o. He joined ZUE Capital Group on 1 September 1999 when he began to work in Zakład Usług Energoelektronicznych Radiotech as a Technical Officer. Subsequently, in 2000-2002, he held the position of the Manager of the Bidding Department. In 2002-2006, he was the Manager of the Marketing Department at Zakłady Usług Energetycznych i Komunikacyjnych Grupa ZUE S.A. In 2006, he was appointed the Manager of the Production Preparation Office and Contracts ProxyIn 2007–2013, Mr. Czeremuga was the Director of the Railway Works Unit at ZUE S.A and in 2010–2011,  he was the Management Board Vice-President – Managing Director at Przedsiębiorstwo Robót Komunikacyjnych  w Krakowie S.A.
In 2011–2014, he was a Member of the Supervisory Board of Biuro Inżynieryjnych Usług Projektowych w Krakowie. Next, he was the Management Board President between June 2014 and May 2015.

On 1 January 2007, Jerzy Czeremuga became the Director of the Railway Works Unit at ZUE S.A. He has been the Director of the Power Infrastructure Unit at ZUE S.A. since 2014. He has also been the Director of the Central Purchase Office since 2017. Right now he is Logistics and Supplies Director. He has held the position of a Vice-President of the Management Board of ZUE S.A. since 11 May 2011.

Marcin Wiśniewski

Marcin Wiśniewski completed undergraduate studies at the Faculty of Civil Engineering – Building Technology and Organisation at the Cracow University of Technology followed by graduate studies at the Faculty of Civil Engineering – Management and Marketing in Civil Construction at the same university.

In 1995-1999, he worked as Project Manager, Site Manager, and Deputy Chief Technical Officer at KALEM Krystyna i Lech Michnik, a construction company.
In 1999-2002, he held the position of Chief Technical Officer and Vice-President of the Management Board of KALEM S.A. In 2002-2003, he was the Manager of the Track and Construction Unit at PREFTOR S.A. In 2003-2006, he held the position of the Director of the Roads and Tracks Unit at ZUE S.A. Subsequently,  in 2006, he was appointed the Director of the Projects Execution Unit. On 1 February 2007, he became the Director of the Projects Execution Unit and Vice-President of the Management Board of ZUE S.A.
Since 2014, he has been the Director of the City Infrastructure Unit and Vice-President of the Management Board of ZUE S.A.

Since March 2001, he has held unlimited building qualifications (roads, tram tracks, civil structures, bridges, tunnels, airports) and used them several times as manager in connection with construction contracts performed by ZUE S.A. He is Tram Infrastructure Director.

Anna Mroczek

Anna Mroczek graduated from the Faculty of Management at the AGH University of Science and Technology in Cracow. In addition, she completed postgraduate studies in tax consultancy and the accounting and finance at the Academy of Entrepreneurship and Management at the Cracow University of Economics.

She started her professional career in 1994 as Stockbrocker at Centralne Biuro Maklerskie Banku PKO S.A. In 1996–2002, she worked as Expert and then as Deputy Manager of the Head Office of Mostostal Kraków S.AIn 1998–2002, she held the position of the President of the Management Board of Budmos Sp. z o.o.  In 2000–2002, she was Financial Director at Mostostal Kraków S.A. and in 2002, Financial Director at Budimex Dromex S.A. In 2003–2008, she was Production Economic Director at the company.

Between August 2008 and June 2012, Ms. Anna Mroczek held the position of a Vice-President of the Management Board of Mostostal Kraków. In the period 2009 – 2010, she was also the Management Board President and then Liquidator at Sprzęt Transport Sp. z o.oBetween June 2012 and December 2013, she held the position of a Vice-President – Financial Director of Przedsiębiorstwo Robót Komunikacyjnych w Krakowie S.A.

She was a Councillor of the City of Cracow (VI term) in the period 2010–2014. She is a Member of the Supervisory Boards of the two companies within ZUE Capital Group, namely Biuro Projektów Komunikacyjnych w Poznaniu sp. z o.o. (since 2015) and Railway gft Polska sp. z o.o. (since 2015).

She has been a Member of the Management Board and Financial Director of ZUE S.A. since 24 December 2013. She has been a Vice-President of the Management Board of ZUE S.A. since 3 February 2017.

Maciej Nowak

Maciej Nowak completed PhD studies at the Faculty of Law and Administration of the Jagiellonian University in Cracow.

Since 2002, he was a Member of the Supervisory Boards of several companies within ZUE Capital Group, including PREFTOR S.A. (2002–2006), ZUE S.A. (2002–2007), PREFTOR S.A. w likwidacji (2006–2008), TORBUD Sp. z o.o. w likwidacji (2010–2011) and Przedsiębiorstwo Robót Komunikacyjnych w Krakowie S.A. (2010–2013).

In 2009-2010, he was the President of the Management Board of Biuro Inżynieryjnych Usług Projektowych Sp. z o.o. He was a Member of the Management Board of Railway Technology International Germany GmbH between May 2012 and July 2021. He has been a Member of the Supervisory Board of Biuro Projektów Komunikacyjnych w Poznaniu sp. z o.o., a company within ZUE Capital Group, since 2015. 

He has been the President of the Management Board of Railway Technology International sp. z o.o. since November 2011 and a Member of the Management Board and Legal and Corporate Director of ZUE S.A. since 9 January 2014.

He has been a Vice-President of the Management Board of ZUE S.A. since 3 February 2017.

Magdalena Nowak

Vice President of the Management Board
Magdalena Nowak is a graduate of the Faculty of Mining Surveying and Environmental Engineering at the AGH University of Science and Technology in Kraków.

From the beginning of her professional career, she has been associated with the ZUE Group, where she went through all organizational levels of ZUE S.A., starting in 2004 as a clerk and then as a specialist. In 2013, she took up the position of insurance and claims settlement specialist, and a year later, the head of the technical department, handling the contracts being implemented from a warranty and legal perspective.

In November 2016, she was appointed to the position of deputy director for production, responsible for the implementation of all contracts performed for PKP PLK S.A. In April 2020, she was appointed to the position of managing director, heading the division implementing the largest investment tasks in ZUE S.A. in Poland and abroad. She currently holds the position of deputy general director.

In 2007-2017, she served as a member of the Supervisory Board of ZUE S.A. From 2017 to June 2024, she served as an independent commercial proxy.

Piotr Korzeniowski

Chairman of the Supervisory Board
Piotr Korzeniowski was appointed to the Supervisory Board of ZUE S.A. for the first time in 2010.  He was appointed to the Supervisory Board of ZUE S.A. for the current three-year term on 31 May 2022.  

Piotr Korzeniowski graduated from the Faculty of Law and Administration of the Jagiellonian University in Cracow, with MA in law conferred in 2005. He has been a university teacher at Akademia Nauk Stosowanych w Tarnowie [Academy of Applied Sciences in Tarnów] since 2007.  

Piotr Korzeniowski is a member of the Cracow Bar Association. He completed a 3.5-year legal training organised by the Cracow Bar Association (2007-2011), passed the examination (2011) and was entered on the list of legal advisors after an oath had been taken from him (entry no. KR-1986). He runs his Law Office.  

In addition, Piotr Korzeniowski has held the following position in the past five years: 18.10.2017 – 31.05.2022: Member of the Audit Committee of ZUE S.A.  

Barbara Nowak

Vice Chairman of the Supervisory Board
Barbara Nowak was appointed to the Supervisory Board of ZUE S.A. for the first time on 6 June 2017. She has been a Member of the Audit Committee of ZUE S.A. since 18 October 2017. She was appointed to the Supervisory Board of ZUE S.A. for the current three-year term on 31 May 2022.

Barbara Nowak graduated from the Faculty of Food Technology at the University of Agriculture in Cracow. She also completed post-graduate studies in sales marketing.

She started her professional career in 1981 at ZPC Wawel where she worked until 1986. Next, she was employed as a teacher at the Food School Complex in Cracow. In 1987, she began to work at  Polskie Zakłady Zbożowe w Krakowie S.A. as Chief Quality Control Inspector.

In 1996–2002, she worked at Zakład Urządzeń Energoelektronicznych Radiotech. She held the position of Financial Director from 2002 (i.e. since the transformation ZUE Radiotech into Zakłady Usług Energetycznych i Komunikacyjnych grupa ZUE S.A. (predecessor of ZUE S.A.) to 2013. She was a liquidator of PREFTOR S.A. in the period 2006-2008. She has been the Managing Director of ZUE S.A. since 2013. In addition, she was the Company’s proxy between 2002 and June 2017.

Barbara Nowak is the wife of Wiesław Nowak, the Company’s Management Board President and CEO holding the shares carrying 62.53% of the total vote at the Company’s General Meeting.

Agnieszka Klimas

Agnieszka Klimas was appointed to the Supervisory Board of ZUE S.A. for the first time on 21 January 2022. She was appointed to the Supervisory Board of ZUE S.A. for the current three-year term on  31 May 2022.

Agnieszka Klimas has got a secondary education. She graduated from the Secondary School No. II in Cracow. She also studied Middle and Far Eastern cultures for three years at the Faculty of International and Political Studies at the Jagiellonian University.

She has worked in the hospitality industry since 2008 and had various jobs at P.T. Hotel Warszawski sp. z o.o. in 2008-2009 and then at RT Hotels S.A. in 2011-2014. Ms. Klimas has been employed with HTI sp. z o. o. since 2014. She has held the position of Revenue Manager at the company since 2016 and her job is to maximize revenues through the proper price and sales policy and to manage and supervise e-commerce. Agnieszka Klimas has a lot of experience in international business. She can speak English, German and Chinese.

Irena Piekarska-Konieczna

Irena Piekarska-Konieczna was appointed to the Supervisory Board of ZUE S.A. for the first time on 31 May 2022.  

Irena Piekarska-Konieczna has got a university education. She graduated from the Faculty of Production and Industry Economics at Cracow University of Economics.

In 1977-1987, she was employed with Elektromontaż Kraków S.A. as Senior Inspector. In 1987-1996, Ms. Piekarska-Konieczna worked as Tax Inspector in the Treasury Office in Cracow and then as Tax Inspector in the Tax Inspection Office. After 1992, she managed the public companies inspection department.

In 1996-2002, Ms. Piekarska-Konieczna was a Manager of the Accounting Department at Mostostal Kraków S.A. In 2002-2003, she worked as Senior Accountant at Budimex Dromex S.A. In 2002-2011, she worked at Mostostal Kraków S.A., first as Chief Accountant and then as Economic and Financial Director. In 2012-2018, she was employed with Budimex S.A. as the Accounting Department Manager where she maintained the accounting records of Mostostal Kraków S.A.

Ms. Piekarska-Konieczna has a long-term experience in maintaining accounting records and preparing financial statements of construction and assembly companies and in tax settlements. She was also  a member of the supervisory boards of Krakmos sp. z o.o  and Zarat S.A.

Maciej Szubra

Maciej Szubra was appointed to the Supervisory Board of ZUE S.A. for the first time on 31 May 2022.

Maciej Szubra has got a university education. He graduated from the Faculty of Geo-Data Science, Geodesy and Environmental Engineering at AGH University of Science and Technology with a degree in Geodesy and Cartography. In addition, he has an MBA from Cracow School of Business at Cracow University of Economics (CSB CUE).

In 2017-2019, he worked as a consultant for Aecom Polska sp. z o. o. in connection with the Odra and Vistula River Basin Flood Project. He was a member of real estate and design teams and conducted social and economic research involving people affected by the project. He was also involved in the execution of the Real Estate Acquisition and Relocation Projects, technical concepts and the analyses of project economic efficiency.

At the same time, he cooperated with International Management Services sp. z o. o. As part of this cooperation, he prepared feasibility studies as well as technical concepts of spatial analyses and cartographic documents, and analysed strategic documents of state and self-government units.

He has been employed with UBS Business Solutions Poland sp. z o. o. since 2019 as Data Analyst where he has analysed competition among companies representing banking, power, sales, construction, real estate and transport sectors. The said analyses have been carried out based on demographic, spatial and financial data. In addition, he creates demographic models, regional exhibition models and competition models.

Mr. Szubra has technical and consultancy skills as well as experience in international business. He has a perfect command of English.

Acquisition and delivery of comprehensive projects throughout Poland in terms of tram line infrastructure
In the years 2007-2010, the company developed rapidly. The company has carried out further prestigious tasks, e.g. design and construction of a fast tram line in the existing tunnel facility between Rondo Mogilskie and ul. Pawia, along with the completion of the tunnel. In recognition of the performance of this task, the Company won the prestigious title of Construction of the Year 2008 in the category "Road and Railway Facilities". Undoubtedly, the year 2010 was special for the Company in many respects. This is related to the acquisition of 85% of the shares of Przedsiębiorstwo Robót Komunikacyjnych w Krakowie Spółka Akcyjna SA from the State Treasury in the privatization process, the change of the Company's name to ZUE S.A. and, above all, carrying out the initial public offering of shares in ZUE S.A. and debut on the Warsaw Stock Exchange on October 1, 2010.
 
In 2013, ZUE S.A. merged with and Przedsiebiorstwo Robót Komunikacyjnych w Krakowie S.A. as a result, one strong entity was created that could independently and comprehensively carry out tasks related to the construction and modernization of tram and railway infrastructure.
2014 was another year of company development. The company generated record-breaking sales revenue in the amount of PLN 638 million. In 2014, we also managed to extend our offer abroad. ZUE S.A. acquired, together with a Slovak partner, a contract worth over EUR 33 million, entitled: "Construction of IKD Košice, Plan Maratónu Mieru - station yard" in the city of Košice in Slovakia.
In the jubilee year 2016 (the 25th anniversary of the company), the Company for the first time since its stock exchange debut in 2010 paid dividends to the company's shareholders from the profit for 2015.
In 2015, the Company started operating in the commercial segment through the company Railway gft Polska Sp. z o.o., continuing the activities carried out so far by ThyssenKrupp GfT Polska on the market of construction materials related to the railway and municipal industry.
In 2016, ZUE S.A. received the Title of Construction of the Year 2015 (First Degree Award in the Construction of the Year 2015 competition) for: Construction of the Franowo Tram Depot in Poznań” awarded by: Ministry of Infrastructure and Construction, PZiTB, Main Office of Building Supervision.
ZUE S.A. received the title of Construction of the Year 2015 (1st Degree Award in the Construction of the Year 2015 competition) for: Design and execution of construction works under the Project »Improving the Quality of Transport Services by Improving the Technical Condition of Railway Lines No. 1, 133, 160, 186 on the Zawiercie - Dąbrowa Górnicza Section Ząbkowice - Jaworzno Szczakowa«, awarded by: the Ministry of Infrastructure and Construction, PZiTB, Main Building Supervision Office.
In 2022, the Company started operating in Romania, obtaining contracts there for the modernization of railway lines. A branch of the company was also established in Romania.
In 2022, ZUE S.A. acquired over 93% of shares in P.B.I. Energopol sp. z o.o., extending the range of services offered by the ZUE Group to include, among others: road, hydrotechnical and water and sewage works.
